  2.                 OneDIR Pro 2.2 USER LICENSE
  3.  
  4. NOTICE TO ONEDIR PRO USER:  THANK YOU FOR YOUR INTEREST IN ONEDIR PRO.
  5. CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT.  YOU MUST PROMPTLY 
  6. REGISTER YOUR USE OF ONE DIR PRO (THE "SOFTWARE") PROVIDED WITH 
  7. THIS AGREEMENT BY COMPLETING AND FORWARDING TO RICHARD PROFT (THE 
  8. "AUTHOR") THE REGISTRATION FORM LOCATED AT THE END OF THIS DOCUMENT.

  10.      1.     LICENSE GRANT.  If you are a single, individual user, 
  11. the AUTHOR grants to you, as an individual, a non-exclusive right 
  12. to use one copy of the object code version of the SOFTWARE associated 
  13. with this license for use on your computer.  This license to use the 
  14. SOFTWARE is conditioned upon your compliance with the terms of this 
  15. Agreement.  You are entitled to evaluate the software on a royalty free 
  16. basis for thirty days.  Use after the thirty day evaluation period is 
  17. further conditioned upon payment of the license fee specified in this 
  18. REGISTER.TXT file.  This license is effective for 100 years from the date 
  19. of your first use or receipt of the REGISTER.TXT file by the AUTHOR, 
  20. whichever first occurs.  You agree you will only copy the SOFTWARE as 
  21. necessary to use it in accordance with this license.

  23.      2.     COPYRIGHT.  The SOFTWARE is protected by United States
  24. copyright law and international treaty provisions.  You
  25. acknowledge that no title to the intellectual property in the
  26. SOFTWARE is transferred to you.  You further acknowledge that
  27. title and full ownership rights to the SOFTWARE will remain the
  28. exclusive property of the AUTHOR, and you will not acquire any rights 
  29. to the SOFTWARE except as expressly set forth in this license.  You agree 
  30. that any copies of the SOFTWARE will contain the same proprietary notices 
  31. which appear on and in the SOFTWARE.

  33.      3.     REVERSE ENGINEERING.  You agree that you will not
  34. attempt to reverse compile, modify, translate, or disassemble the
  35. SOFTWARE in whole or in part.

  37.      4.     LIMITED WARRANTY.  The AUTHOR warrants that the SOFTWARE
  38. will perform substantially in accordance with the accompanying
  39. written materials for a period of thirty (30) days from the date
  40. of purchase.  Any implied warranties relating to the SOFTWARE are
  41. limited to thirty (30) days.

  43.      5.     CUSTOMER REMEDIES.  If the SOFTWARE does not conform
  44. to the limited warranty in Section 4 above ("Limited Warranty"),
  45. The AUTHOR's entire liability and your sole and exclusive remedy
  46. shall be, at the AUTHOR's option, either to (a) correct the error or
  47. (b) help you work around or avoid the error.  The Limited
  48. Warranty is void if failure of the SOFTWARE has resulted from
  49. accident, abuse, or misapplication.  Any replacement SOFTWARE
  50. will be warranted for the remainder of the original Limited
  51. Warranty period.

  53.      6.     NO OTHER WARRANTIES.  THE AUTHOR DOES NOT WARRANT THAT THE
  54. SOFTWARE IS ERROR FREE.  EXCEPT FOR THE EXPRESS LIMITED WARRANTY
  55. IN SECTION 4 ("LIMITED WARRANTY"), THE AUTHOR DISCLAIMS ALL OTHER
  56. WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR
  57. IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
  58. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT
  59. OF THIRD PARTY RIGHTS.  SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF 
  60. IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY 
  61. LAST, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,
  62. SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  THIS WARRANTY
  63. GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH
  64. VARY FROM JURISDICTION TO JURISDICTION.

  66.      7.     SEVERABILITY.  In the event of invalidity of any
  67. provision of this license, the parties agree that such invalidity
  68. shall not affect the validity of the remaining portions of this
  69. license.

  71.      8.     NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT
  72. SHALL THE AUTHOR OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY
  73. CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES OF ANY
  74. KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR USE OF THE
  75. SOFTWARE, EVEN IF THE AUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF
  76. SUCH DAMAGES.  IN NO EVENT WILL THE AUTHOR'S LIABILITY FOR ANY CLAIM,
  77. WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY,
  78. EXCEED THE LICENSE FEE PAID BY YOU, IF ANY.

  80.      9.     GOVERNING LAW.  This license will be governed by the
  81. laws of the State of Texas as they are applied to agreements
  82. between Texan residents entered into and to be performed
  83. entirely within Texas.  The United Nations Convention on
  84. Contracts for the International Sale of Goods is specifically
  85. disclaimed.

  87.      10.    ENTIRE AGREEMENT.  This is the entire agreement between
  88. you and the AUTHOR which supersedes any prior agreement or
  89. understanding, whether written or oral, relating to the subject
  90. matter of this license.

  108.                      Registering OneDIR Pro
  109.  
  110.    OneDIR Pro doesn't cost much, but it isn't free.  Hundreds of late-night
  111. hours have gone into developing, distributing, and testing OneDIR Pro.
  112. It also cost money to maintain the P.O. Box, the Web site, and current
  113. versions of the Microsoft compilers.  
  114.  
  115.    In order to help offset the time and money which goes into its 
  116. development, OneDIR Pro is distributed as shareware.  If you find OneDIR Pro
  117. useful, please register it.  I believe in the true spirit of shareware:
  118. you get to evaluate a complete copy of the product, and if it is useful
  119. to you then you register it.  The version you have of OneDIR Pro is a 
  120. complete and final version.  It is not crippled.  It does not nag.  It 
  121. does not expire and stop working.  Not only will your mother be proud of
  122. you if you register, but legally you have no choice if you use the product
  123. beyond its 30 day evaluation period.
